# Program Terms

## dMeet Affiliate Program — Terms of Service

*Effective Date: May 22, 2026*

These Terms of Service (the "Agreement") govern your participation in the dMeet Affiliate Program (the "Program"), operated by **DTEL LTD**, a company registered in the Republic of Cyprus (registration number HE 473641) ("dMeet", "we", "us", or "our"). By signing up for the Program, you ("Affiliate", "you") agree to be bound by this Agreement. If you do not agree, you may not participate in the Program.

### 1. Definitions

**"dMeet Service"** means the dMeet platform and related products available at dmeet.org and associated subdomains.

**"Referral Link"** means the unique tracking URL provided to you through our affiliate platform (Tolt).

**"Qualified Referral"** means a new dMeet customer who signs up through your Referral Link within the Cookie Window and makes a paid subscription.

**"Cookie Window"** means the 60-day attribution period beginning when a user first clicks your Referral Link.

**"Commission Window"** means the 12-month period during which you earn commissions on a Qualified Referral, beginning on the date of their first successful subscription payment.

### 2. Eligibility and Acceptance

To participate in the Program, you must:

* Be at least 18 years old;
* Have the legal capacity to enter into binding agreements;
* Provide accurate and complete registration information;
* Not be located in, or a resident of, any country subject to sanctions by the European Union, the United States, or the Republic of Cyprus.

We reserve the right to approve or reject applications, and to suspend or terminate accounts, at our sole discretion.

### 3. The Program

We grant you a non-exclusive, non-transferable, revocable right to promote dMeet using the marketing materials, brand assets, and Referral Link we provide. The Program is administered through Tolt (tolt.com); your affiliate account, dashboard, tracking, and payouts are managed via that platform. Your use of Tolt is also subject to Tolt's own terms of service.

### 4. Commissions

**4.1 Commission Rate.** You earn a commission equal to fifty percent (50%) of every subscription payment made by your Qualified Referrals during the Commission Window.

**4.2 Commission Window.** The Commission Window is twelve (12) months from the date of the customer's first successful subscription payment. After 12 months, no further commissions accrue, regardless of whether the customer remains subscribed.

**4.3 Commission Basis.** Commissions are calculated on the net amount actually received by dMeet, excluding taxes, payment processing fees, refunds, chargebacks, and credits.

**4.4 Approval Period.** Commissions are held in a pending state for thirty (30) days after the qualifying payment to allow for refund and chargeback processing. After this 30-day period, commissions are automatically approved and become eligible for the next monthly payout in accordance with Section 6. Only approved commissions are included in payouts; pending commissions are not paid out, regardless of when they were earned.

### 5. Refunds, Chargebacks, and Reversals

If a customer's payment is refunded, charged back, disputed, or otherwise reversed, the corresponding commission will be cancelled. If the commission has already been paid out, the amount will be deducted from your future commission balance. If your balance is insufficient to cover the deduction, we may invoice you for the difference, which you agree to pay within thirty (30) days.

### 6. Payouts

**6.1 Payout Schedule.** Payouts are issued monthly on NET-15 terms — within fifteen (15) days after the end of each calendar month, for the previous month's approved commissions.

**6.2 Minimum Threshold.** The minimum payout amount is fifty US dollars ($50 USD). Balances below this threshold roll over to the following month and accumulate until the threshold is reached.

**6.3 Payment Methods.** Available payout methods include PayPal, Wire/SWIFT, Wise, local bank transfer, and cryptocurrency (USDT). You are responsible for any transaction fees charged by your chosen payment provider.

**6.4 Currency.** All commissions are denominated and paid in US dollars. Where a payout method requires conversion to another currency, exchange rates are applied at the time of payout.

**6.5 Tax Responsibility.** You are solely responsible for all taxes, withholdings, social contributions, and reporting obligations arising from your participation in the Program. dMeet will not withhold or remit taxes on your behalf unless required by applicable law. You agree to provide any tax documentation we reasonably request (e.g., W-8/W-9 forms, VAT identification).

### 7. Prohibited Promotional Practices

You may promote dMeet through any lawful channel, including blogs, videos, podcasts, newsletters, social media, Telegram, Discord, and paid advertising. However, the following practices are strictly prohibited:

**(a) Brand bidding.** Bidding on "dMeet", related brand terms, misspellings, or close variations in paid search engines (including Google Ads, Bing Ads, and similar platforms). This includes both exact and broad-match bidding.

**(b) Spam.** Sending unsolicited bulk email, SMS, direct messages, or other communications containing your Referral Link. All email and messaging promotion must comply with applicable anti-spam and data protection laws, including CAN-SPAM, CASL, and GDPR.

**(c) Impersonation.** Representing yourself as dMeet, dMeet support, an official dMeet channel, or a dMeet employee. Creating websites, social media accounts, domain names, or marketing materials that could reasonably be mistaken for official dMeet communications.

**(d) Self-referrals and fraud.** Using your own Referral Link to refer yourself, creating fake or fraudulent accounts, engaging in cookie stuffing, click fraud, forced clicks, or any form of manipulation of the tracking system.

**(e) Harmful or unlawful content.** Promoting dMeet on websites or platforms that host illegal content, sexually explicit or adult content, hate speech, harassment, or content that infringes third-party intellectual property rights.

Violation of these restrictions may result in immediate termination of your account, forfeiture of pending and unpaid commissions, and may give rise to legal action.

### 8. Intellectual Property and Brand Use

**8.1 License.** We grant you a limited, non-exclusive, non-transferable, revocable license to use the dMeet name, logo, and approved marketing materials solely for the purpose of promoting dMeet under this Agreement.

**8.2 Restrictions.** You may not modify our brand assets, use them in a misleading or disparaging manner, or register domain names, social media handles, trademarks, or app names containing "dMeet" or confusingly similar terms.

**8.3 Your Content.** Content you create to promote dMeet (articles, videos, posts) remains your property. You grant dMeet a non-exclusive, royalty-free, worldwide license to repost, feature, or reference such content in our own marketing channels, with attribution where reasonable.

### 9. Confidentiality

In the course of participating in the Program, you may receive non-public information about dMeet, including product roadmap, internal performance metrics, and aggregated customer data via the Tolt dashboard. You agree to keep such information confidential and not to disclose it to third parties without our prior written consent, except as required by law.

### 10. Term and Termination

**10.1 Term.** This Agreement commences when you are accepted into the Program and continues until terminated in accordance with this Section 10.

**10.2 Termination for Convenience.** Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party. Notice by email is sufficient.

**10.3 Termination for Cause.** We may terminate this Agreement immediately and without prior notice if you breach this Agreement, engage in fraud or deceptive practices, or take any action that harms our brand, reputation, or business.

**10.4 Effect of Termination.** Upon termination:

* Your Referral Link will be deactivated;
* Any commissions earned through prohibited practices will be forfeited;
* All other earned and approved commissions will be paid out in accordance with the normal payout schedule, subject to the minimum threshold;
* Sections 5, 8, 9, 11, 12, and 14 will survive termination.

### 11. Disclaimers

The Program is provided on an "as is" and "as available" basis. We make no representations or warranties, express or implied, regarding earnings potential, conversion rates, or the continued availability of the Program. Past performance by other Affiliates is not indicative of future results. We are not liable for technical failures, data loss, or interruptions caused by the Tolt platform, payment processors, or other third-party services.

### 12. Limitation of Liability and Indemnification

**12.1 Limitation of Liability.** To the maximum extent permitted by applicable law, dMeet's total aggregate liability arising out of or relating to this Agreement is limited to the total commissions paid to you in the twelve (12) months preceding the event giving rise to the claim. In no event will dMeet be liable for indirect, incidental, consequential, special, or punitive damages.

**12.2 Indemnification.** You agree to indemnify, defend, and hold harmless dMeet, its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of (i) your breach of this Agreement, (ii) your promotional activities, or (iii) your use of dMeet's intellectual property.

### 13. Modifications to the Program

We reserve the right to modify these Terms or any aspect of the Program — including commission rates, the Commission Window, the Cookie Window, payout terms, and prohibited practices — at any time. We will provide at least fourteen (14) days' prior notice of material changes via email or through the Tolt dashboard. Your continued participation in the Program after the effective date of changes constitutes acceptance of the modified Terms.

### 14. Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict-of-laws principles. Any disputes arising out of or relating to this Agreement will be resolved exclusively in the competent courts of Nicosia, Cyprus.

### 15. General Provisions

**15.1 Independent Contractors.** Nothing in this Agreement creates an employment, agency, partnership, joint venture, or franchise relationship between the parties. You are an independent contractor and may not represent yourself as an agent or employee of dMeet.

**15.2 Assignment.** You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement freely, including in connection with a merger, acquisition, or sale of assets.

**15.3 Entire Agreement.** This Agreement, together with any documents it incorporates by reference, constitutes the entire agreement between you and dMeet regarding the Program and supersedes any prior agreements or understandings.

**15.4 Severability.** If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
